Terms of Service

1. Definitions

• “Service” means the M2aBot platform, including the AI chatbot, dashboard, chat widget and all associated features.
• “Client” means any individual or legal entity that subscribes to the Service.
• “Visitor” means any person who interacts with the chatbot on a Client’s website.
• “Content” means all text, data and information provided by the Client to populate the chatbot.
• “We”, “our” means M2aBot and its team.

2. Service Description

M2aBot is a bilingual (French/English) intelligent conversational assistant designed for small and medium business websites. The Service includes:

• A customized AI chatbot integrated into the Client’s website
• A dashboard for managing conversations and leads
• Real-time notifications (email, SMS, dashboard)
• Usage analytics and statistics
• Lead capture and management
• Integration with third-party messaging platforms

3. Registration and Account

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity performed under your account
• Notifying us immediately of any unauthorized access

You must be at least 18 years old and have the legal capacity to enter into a contract to use the Service.

4. Plans and Pricing

M2aBot offers different subscription plans, details of which are available on our pricing page. Prices are displayed in Canadian dollars (CAD) and are subject to change with 30 days’ notice. Applicable taxes are added to the displayed prices.

5. Billing and Payment

• Subscriptions are billed monthly or annually, depending on the chosen plan
• Payments are processed by a PCI-DSS certified third-party payment provider
• Invoices are sent by email and available in the dashboard
• In case of payment default, the Service may be suspended after 7 days’ notice

6. Free Trial

M2aBot offers a 14-day free trial to explore the Service with no commitment. No credit card is required for the trial. At the end of the trial period, your account will be automatically deactivated unless you subscribe to a paid plan. Data created during the trial will be retained for 30 days after the trial ends.

7. Acceptable Use

By using the Service, you agree not to:

• Use the Service for illegal or fraudulent purposes
• Distribute hateful, defamatory or misleading content through the chatbot
• Attempt to bypass the limitations of your subscribed plan
• Use the Service for spam or unsolicited solicitation
• Attempt to access other clients’ data
• Reverse engineer the Service

M2aBot reserves the right to suspend or terminate any account in violation of these rules, without notice or refund.

8. Intellectual Property

The Service, including its source code, design, algorithms and documentation, is the exclusive property of M2aBot. Your subscription grants you a non-exclusive, non-transferable and revocable license to use the Service.

The Content you provide to populate the chatbot remains your property. You grant us a limited license to process this Content for the purposes of the Service.

9. Limitation of Liability

The Service is provided “as is.” M2aBot provides responses generated by artificial intelligence based on the content you provide.

• M2aBot is not responsible for inaccurate or inappropriate chatbot responses
• You are responsible for the quality and accuracy of source content
• Our total liability is limited to the amount of fees paid in the last 12 months
• M2aBot is not liable for indirect, incidental or consequential damages

9b. Indemnification

You agree to indemnify and hold harmless M2aBot, its officers, employees and agents from any claims, damages, losses or expenses (including legal fees) arising from: your use of the Service, content you provide, your violation of these terms, or your violation of any third-party rights.

10. Service Availability

M2aBot makes commercially reasonable efforts to maintain high Service availability. Planned maintenance will be communicated in advance by email. In case of unplanned interruption exceeding 4 hours, a proportional credit may be applied upon request. M2aBot does not guarantee uninterrupted or error-free access to the Service.

10b. Force Majeure

M2aBot shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: natural disasters, acts of government, internet or infrastructure outages, third-party service disruptions, cyberattacks, or any other event outside M2aBot’s reasonable control.

11. Termination

You may terminate your subscription at any time:

• Termination takes effect at the end of the current billing period
• No termination fees apply
• Your data will be retained for 30 days after termination, then deleted
• You may request an export of your data before deletion

M2aBot reserves the right to terminate your account immediately in case of violation of these terms.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be communicated by email at least 30 days before they take effect. Continued use of the Service after this period constitutes your acceptance of the new terms. In case of disagreement, you may terminate your subscription without fees.

13. Governing Law

These terms are governed by the laws of the Province of New Brunswick and applicable federal laws of Canada. Any dispute shall be submitted to the exclusive jurisdiction of the courts of New Brunswick, Canada.

14. General Provisions

• If any provision of these terms is found to be invalid, the remaining provisions shall remain in effect.
• Failure to exercise a right provided herein does not constitute a waiver of that right.
• These terms constitute the entire agreement between you and M2aBot regarding the use of the Service.
• These terms may not be assigned or transferred without our written consent.
